Terms & Conditions of Service
The standard terms on which we supply assessment, development and programme services to business customers. They are read together with the proposal or order you have accepted.
Last updated: 18 September 2026
1. About these Terms
These are the standard Terms and Conditions of Service of FORESIGHT FLEET SOLUTIONS LTD, trading as Foresight Fleet Solutions ("we", "us", "our"). FORESIGHT FLEET SOLUTIONS LTD is a company registered in England and Wales. Company number 17454388.
Registered office: Suite Ra01, 195 - 197 Wood Street, London, England, E17 3NU.
They apply to the supply of our services to business customers ("you"). They are not consumer terms.
You can contact us about these Terms by email at info@foresightfleetsolutions.com or by telephone on 0330 122 2926.
These Terms record the commercial model we operate, in plain professional English. They are not legal advice and they are not represented as solicitor approved. Where you need advice on your own legal position, you should take your own professional advice.
2. Your contract with us
Your contract with us consists of:
- the written proposal or order you have accepted
- these Terms and Conditions of Service
- any schedule, data-processing terms or other document expressly incorporated into the agreement
Where a proposal or order and these Terms differ, these Terms apply unless the proposal or order expressly states that a particular provision varies these standard Terms. A difference in wording alone does not override a provision of these Terms.
Your accepted proposal or order is where the matters specific to you are recorded, including:
- the service or programme selected
- contracted driver headcount
- your operating locations
- scope and agreed deliverables
- implementation arrangements
- any bespoke requirements
- the agreed price
- any approved variation to these Terms
3. Quotations, acceptance and booking
Following an enquiry we issue a written proposal or order setting out scope, driver numbers, locations, deliverables and price.
Acceptance takes place through your written or electronic acceptance of that proposal or order, together with satisfaction of any payment requirement it specifies. A booking is confirmed in accordance with the acceptance and payment requirements set out in the applicable proposal or order.
Where advance payment, a deposit or an implementation payment is required, written acceptance on its own does not necessarily reserve or secure a delivery date.
4. Published prices and VAT
Published standard prices apply to the services and fleet profiles described on this website. Requirements outside the standard scope, including bespoke or complex deployments, are priced in a written proposal.
All prices are exclusive of VAT. VAT will be charged where applicable.
5. Our services
We provide occupational driver-risk services across three areas — Assess, Manage and Develop. Depending on what your proposal records, the services may include:
- occupational driver-risk assessment
- programme management
- driver-risk records and risk classification
- management reporting
- new-starter assessment
- post-incident assessment
- reassessment
- targeted driver development
- specialist driver development
- associated programme administration
We do not make DVLA medical fitness determinations, and we do not make your final decision about whether an employee may drive for work. Your employment, fleet, health-and-safety and occupational-road-risk decisions remain yours.
6. Assessment and driver development are separate services
An assessment is an observational and reporting service. It may:
- observe driving
- evaluate the relevant driving competencies
- record what was observed
- score and classify occupational driver risk
- produce written reports
- explain the findings
- identify recommended management actions
- recommend subsequent development or reassessment
Assessment-only work does not include remedial driving instruction or coaching. Where an assessment identifies a development need, it records that need; it does not deliver the development.
Driver Development is a separate service in which driving coaching and instruction are actually delivered. Development is supplied where your proposal, or an included programme allowance, provides for it.
7. Baseline Assessment Day
The Fleet Driver Baseline Assessment Day is published at £595 + VAT per day and includes:
- reserved assessment capacity for up to 3 drivers
- one operating site
- approximately 90 minutes of on-road assessment per driver
- an individual written assessment report for each driver assessed
- a Low / Medium / High occupational driver-risk classification per driver
- a management and programme summary
The £595 + VAT fee is a day and package price, not a per-driver rate: it purchases reserved Baseline Assessment Day capacity. If only one or two eligible drivers attend, the standard fee does not automatically reduce.
Unused capacity does not create a refund, a cash value, a credit or a free future assessment unless we expressly agree otherwise in writing.
Standard travel within our normal service area is included. Requirements outside our normal service area may be quoted separately.
8. Single and additional assessments
A Single Driver Assessment is published at £249 + VAT.
Where a further suitable driver can be assessed on the same day as an assessment already scheduled, that additional driver is published at £179 + VAT. That figure is the additional suitable same-day driver rate, applicable where it is operationally practical. It is not a starting price for our assessments and is not available as a standalone assessment price.
9. Post-incident assessment
Within Managed and Complete programmes, qualifying post-incident assessments may be delivered through the applicable programme allowance. For an organisation without a programme, a post-incident assessment is quoted individually.
A post-incident assessment is assessment-only. It may set out findings and recommended next steps, and it does not include remedial instruction or coaching. The final workplace and return-to-driving decision remains yours as the employer.
10. Fleet programme eligibility
Fleet programmes begin at 10 contracted drivers.
Published standard programme pricing applies to straightforward fleets of 10–50 contracted drivers. An organisation with 51 or more contracted drivers receives a bespoke written proposal.
A complex, geographically dispersed, multi-site or operationally unusual fleet may require bespoke pricing regardless of headcount.
11. Baseline programme implementation
For a standard 10–50 driver programme, baseline implementation is published at £169 + VAT per existing contracted driver. Baseline implementation is charged separately from the annual Managed or Complete programme fee.
Standard implementation billing is 50% + VAT on signing or acceptance, and the remaining 50% + VAT on completion of baseline implementation.
For a 51+ driver or complex deployment, milestone billing may be agreed in the written proposal.
12. Managed programme
Managed is published at £120 + VAT per contracted driver per programme year, subject to a minimum annual programme fee of £1,500 + VAT.
Managed includes:
- Ongoing programme administration
- Driver risk records and classifications
- Quarterly management summaries
- Central account coordination
- Scheduling support
- Programme-level risk visibility
- New-starter assessment allowance — up to 20% of contracted headcount per programme year
- Post-incident assessment allowance — 1 per 10 contracted drivers per programme year
Managed does not automatically include the following, unless expressly added or separately agreed:
- Targeted Driver Development allowance
- Reassessment allowance for Medium and High findings
- Licence-check administration
- Annual Driver Risk Evidence Pack
13. Complete programme
Complete is published at £240 + VAT per contracted driver per programme year, subject to a minimum annual programme fee of £3,000 + VAT.
Complete includes everything in Managed, plus:
- Targeted Driver Development allowance — up to 30% of contracted headcount per programme year
- Reassessment allowance — up to 20% of contracted headcount per programme year
- Licence-check administration
- Annual Driver Risk Evidence Pack
Licence-check administration is delivered as described in your proposal. The provider, the checking frequency and any third-party cost are confirmed there rather than in these Terms.
14. Programme term and Programme Start Date
Managed and Complete are 12-month programme commitments. They are not monthly cancellable subscriptions.
The Programme Start Date is the date baseline implementation is completed or, where baseline implementation is not required, another expressly agreed service commencement date. The 12-month programme runs from that date.
There is no general right to cancel for convenience during the committed 12-month programme term. We may agree an exceptional early termination or settlement in writing where we consider it appropriate. Nothing in this section affects either party’s rights on material breach.
15. Annual programme payment options
A programme may be paid for in either of two ways:
- Option A — annually in advance, at the standard annual programme price
- Option B — 12 monthly instalments, where the total annual programme price carries a 5% payment-plan premium
The instalment option changes payment timing only. It does not change the 12-month contractual commitment, and it does not create a monthly subscription or a rolling contract.
16. Programme allowances — general rules
Included programme allowances:
- are calculated on contracted fleet headcount
- round down to the nearest whole driver
- are separate pools, and do not pool with one another
- cannot normally be exchanged between allowance categories
- have no cash value and do not generate refunds
- do not roll over, and reset at the start of each programme year
- belong to your contracted fleet rather than to named individual drivers
- are subject to reasonable scheduling and operational availability
- are an entitlement to qualifying services rather than a guarantee of immediate or on-demand delivery
Using one allowance does not reduce another. Percentage allowances round down, so 20% of a 17-driver fleet is 3 drivers.
Appointments are scheduled according to location, operational requirements and assessor and trainer availability, with higher-risk and post-incident requirements prioritised where practicable.
17. New-starter and post-incident allowances
On Managed and Complete, the new-starter assessment allowance is up to 20% of contracted headcount per programme year.
New-starter assessments are normally arranged at the next suitable scheduled or batched opportunity, rather than guaranteed immediately on demand.
On Managed and Complete, the post-incident assessment allowance is one post-incident assessment per 10 contracted drivers per programme year, rounded down. It does not pool with any other allowance category.
18. Complete — targeted development and reassessment allowances
Complete includes Targeted Driver Development for up to 30% of contracted headcount per programme year. A standard included development session is approximately 90 minutes where applicable. This is a development service and may include appropriate coaching and instruction.
Complete includes reassessment for up to 20% of contracted headcount per programme year. The reassessment allowance is separate from the development allowance.
19. Programme excess rates
Where an allowance has been exhausted, or qualifying work falls outside an included allowance, that work is charged at programme excess rates:
- assessment-type work — £149 + VAT per driver when suitably batched, or £199 + VAT per driver standalone
- driver development — £179 + VAT per driver when suitably batched, or £229 + VAT per driver standalone
Whether work can be batched depends on location, scheduling, operational practicality and availability. The batched rates apply only where batching is genuinely possible; they are not standalone prices.
20. Baseline Assessment Day credit towards a programme
Where you purchase a Baseline Assessment Day and subsequently enter an eligible fleet programme within 90 days, we credit £169 + VAT per qualifying previously assessed driver against programme baseline implementation.
The assessment must remain sufficiently current and suitable for programme implementation.
For a standard three-driver Baseline Assessment Day, the maximum normal credit is £507 + VAT. The full £595 + VAT day fee is not credited automatically.
21. Changes in contracted fleet headcount
If your contracted fleet headcount increases during a programme year, appropriate additional charges may be applied on a prorated basis.
A reduction in fleet headcount does not automatically reduce your existing committed programme fee for the current programme year. Fleet size and requirements can be reconsidered at renewal.
22. Your responsibilities
You remain responsible for ensuring that each participating driver:
- holds the appropriate valid driving entitlement
- is authorised by you to drive
- is legally permitted to drive
- is fit to participate
- provides accurate and relevant information where required
Vehicles used for service delivery must be:
- roadworthy
- appropriately taxed where required
- appropriately insured
- legally usable on the road
- suitable for the service being delivered
- appropriately authorised and insured for our personnel to be present as required
You retain responsibility for occupational road risk, fleet management, health and safety, employment decisions, driver authorisation, vehicle legality, and implementing appropriate controls following our findings. Our services do not transfer any of those responsibilities to us.
23. Safety, conduct and our right to stop
We may refuse, postpone or stop delivery where continuing would reasonably be considered unsafe, unlawful or inappropriate. Examples include:
- an unsafe vehicle
- driver impairment
- unsafe driver behaviour
- abusive or threatening conduct
- severe road or weather conditions
- a legal or insurance concern
Where it is appropriate to do so, we explain the reason to you.
Participating drivers must comply with the lawful and reasonable safety requirements associated with delivery. Our personnel are not required to remain in a threatening, abusive, unlawful or unsafe situation, and a serious conduct or safety concern may result in the session being terminated.
24. Cancellation and rescheduling
Unless expressly varied in a written proposal, the following applies to a confirmed booking:
- more than 48 hours’ notice — no cancellation or rescheduling charge
- 24 to 48 hours’ notice — 50% of the affected booked service charge
- less than 24 hours’ notice — 100% of the affected booked service charge
- no-show, or driver unavailable on the day — 100% of the affected booked service charge
Where an appointment is being supplied through an included programme allowance, a late-cancelled appointment or a no-show may count as use of that allowance.
We may exercise reasonable discretion in genuinely evidenced exceptional circumstances.
25. Larger and multi-day deployments
Unless a bespoke proposal expressly varies these provisions, the notice period for a linked deployment reflects the resource committed to it:
- one assessor-day — the standard 48-hour framework above
- two to four linked assessor-days — 5 working days’ notice
- five to nine assessor-days — 10 working days’ notice
- 10 or more assessor-days — 20 working days’ notice
For a deployment of 10 or more assessor-days, the cancellation charge is:
- 20 or more working days’ notice — no cancellation charge
- 10 to 19 working days’ notice — 25% of the affected booked service charge
- five to nine working days’ notice — 50% of the affected booked service charge
- fewer than five working days’ notice — 100% of the affected booked service charge
A bespoke proposal may set different terms where resource, travel or subcontractor commitments justify them.
26. Weather and other events affecting safe delivery
Where severe weather, dangerous road conditions, emergency restrictions or another external event makes delivery unsafe or impracticable, the affected service is rescheduled without the normal cancellation charge.
Where we determine that an included programme appointment cannot safely proceed for one of those reasons, the applicable allowance is not consumed.
27. Substitutions, lateness and delays
You may substitute another suitable driver on the day where that is operationally practical and the replacement driver and vehicle meet the service requirements. We retain reasonable discretion where a substitution materially changes scope or prevents proper delivery.
Where you or a driver is up to approximately 15 minutes late, we may proceed provided the full intended service can still be delivered safely and professionally. We do not materially shorten a standard assessment to compensate for lateness. Where lateness prevents proper delivery, the cancellation and no-show provisions above may apply.
Where our own personnel are delayed, we notify you where reasonably possible and preserve the intended duration of the service. Where proper delivery becomes impracticable, we offer a reasonable replacement appointment at no additional charge.
28. If we cannot deliver
If we cannot deliver a confirmed one-off service, we offer the earliest reasonable replacement date. Where you reasonably decline that replacement for a prepaid one-off service, we refund the amount paid for the undelivered service.
Where we cancel an included programme appointment, the applicable allowance is not consumed.
29. Reporting
Assessment reports are professional records based on what was observed, the information available and the circumstances at the time of the assessment.
Our target service standards are:
- an individual assessment report — normally within 2 working days
- a standard Baseline Assessment Day management summary — normally within 3 working days following completion of the final assessment
- programme reporting — in accordance with the applicable programme specification
These are service targets rather than guarantees, unless a particular timescale is expressly guaranteed in your written proposal.
30. Who receives reports
Driver information is not distributed indiscriminately.
An assessed driver may receive or access their own appropriate report, in accordance with the agreed delivery model and applicable data-protection requirements. Your authorised contact receives the individual and programme information appropriate to their role and to the agreed service.
Outputs specific to your organisation may be shared, where appropriate and lawful, with professional stakeholders such as insurers, insurance brokers, legal advisers, auditors, health-and-safety advisers and regulators.
31. Report review and disputes
An objective factual error in a report is corrected without charge.
A request to review a matter of professional judgement should normally be raised within 14 days of report delivery. Where appropriate, we may arrange a senior review.
If we determine that a material assessment error occurred, we may correct the report or provide an appropriate reassessment without charge. A difference of professional opinion alone does not automatically entitle you to a free reassessment.
32. Assessment independence
We retain professional independence over our methodology, observations, competency scoring, findings, occupational risk classification and recommendations.
You may provide relevant factual context, and we consider it. You may not require us to change a professional assessment or risk classification merely because the outcome is commercially or operationally inconvenient.
33. Intellectual property
We retain ownership of our underlying assessment methodology, scoring frameworks, templates, classification systems, training materials, processes and proprietary programme materials.
You may use the outputs specific to your organisation — your reports, summaries, evidence outputs and programme records — for legitimate internal business purposes and legitimate external professional purposes.
You do not acquire any right to sell, license, commercially reproduce, reverse engineer, or republish as your own methodology, our underlying proprietary systems and materials.
34. Who delivers the services
We may use appropriately selected employees, contractors and subcontractors to deliver the services. We remain responsible to you for the quality of the services we are contracted to provide.
Assessment and development roles are kept properly distinguished. Where paid driving instruction or coaching is provided, the personnel delivering it satisfy the applicable requirements for that activity.
We do not undertake that every assessment will be delivered by an Approved Driving Instructor.
35. Non-circumvention
Our engagement may introduce you to personnel and business relationships that we have sourced, developed or contracted. You agree not to deliberately circumvent us, directly or indirectly, by engaging those personnel or relationships in order to obtain equivalent services outside the agreement.
The commercial intention is a protection period of 24 months from the end of the engagement. The provision is intended to be proportionate and to protect a legitimate business interest. It is not intended to prevent ordinary recruitment through a genuine open process, and no fixed sum, liquidated damages or penalty is claimed under it.
36. Payment — one-off services
A Baseline Assessment Day and similar one-off work are normally payable before delivery, unless we expressly approve credit terms in writing. We do not operate a general credit facility.
37. Payment — programmes
For a standard 10–50 driver implementation, 50% + VAT is due on signing or acceptance and 50% + VAT on completion of baseline implementation. A bespoke, complex or 51+ driver engagement may use separately agreed milestone billing.
Where you pay annually in advance, the full annual programme fee is payable at programme commencement in accordance with the agreed invoice terms.
Where you pay by instalments, the first instalment becomes due in accordance with the agreed programme commencement and billing arrangement, followed by the remaining 11 monthly instalments. The 5% payment-plan premium applies. You remain committed for the full 12-month term: stopping instalments does not bring that commitment to an end.
38. Invoicing and late payment
Unless otherwise agreed, invoices carry 14-day payment terms.
Where an undisputed invoice remains unpaid after its due date, we may issue written notice and may reasonably suspend services. Where contractual escalation applies, we allow an appropriate 14-day written remedy period first.
Where you demonstrate a credible exceptional circumstance, we may at our discretion allow a further period of up to 14 calendar days in writing. That additional grace is discretionary, does not create a permanent entitlement, and does not change the 12-month programme commitment.
Any statutory right to interest and recovery costs on a late commercial payment is preserved. We do not apply a bespoke debt charge in addition to it.
39. Suspension
Where services are reasonably suspended because of material non-payment or a serious breach by you:
- unused allowances do not automatically become cash
- suspension does not automatically terminate the agreement
- each party’s obligations continue, subject to the agreement and applicable law
40. Termination for material breach
Either party may terminate for material breach where appropriate written notice has been given and, where the breach is capable of remedy, the breach remains unremedied after a reasonable remedy period.
We may take appropriate immediate protective action, including suspending or stopping delivery, in response to a sufficiently serious matter such as a serious safety issue, illegality, fraud, serious abuse or threats, or another sufficiently serious breach.
No punitive termination damages and no automatic accelerated damages are claimed under these Terms.
41. Confidentiality
Each party protects non-public confidential information received through the commercial relationship, and uses it only for legitimate purposes connected with the engagement, unless disclosure is authorised, is legally required, or rests on another lawful basis.
Driver information is also handled in accordance with applicable data-protection requirements.
42. Data protection
Each party will comply with applicable UK data-protection law. The parties’ respective controller and processor roles depend on the processing activity involved, and are not allocated globally by these Terms.
Where we act as a processor on your behalf, contractual data-processing provisions satisfying applicable UK GDPR requirements, including the relevant Article 28 requirements, form part of the contractual arrangements.
Where we determine the relevant purposes and essential means of a particular processing activity, and therefore act as a controller for it, the documentation reflects that role.
How we handle personal data collected through this website is set out in our Privacy Policy, linked at the end of this page.
43. Records and retention
Records are retained only for as long as reasonably necessary for legitimate operational, contractual, legal, insurance and dispute-management purposes, subject to applicable law and our Privacy Policy.
A category-specific retention schedule is maintained separately from these Terms.
44. Limits of what our services provide
We provide professional assessment, development and reporting. We do not guarantee that our services will:
- prevent collisions
- prevent incidents
- eliminate occupational road risk
- reduce your insurance premiums
- reduce insurance claims
- reduce operating costs
- satisfy any particular insurer, broker, auditor or regulator
- make your organisation compliant with every applicable legal duty
Driver assessment and development can form part of a wider approach to managing occupational road risk, alongside vehicle maintenance, journey planning, policy, licence checking and incident review.
45. Use with insurers and brokers
Reports and evidence specific to your organisation may support legitimate discussions with your insurers and brokers.
Nothing in our services guarantees insurance acceptance, a reduced premium, improved underwriting, a favourable renewal or any particular insurer decision. Underwriting decisions remain with the insurer.
46. Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, and to the extent permitted by law, neither party is liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, or indirect or consequential loss.
We are not responsible for your own decisions on employment, driver authorisation, fleet operations or health and safety, or for a decision not to act on findings and recommendations we have reported to you.
These Terms do not set a financial cap on our liability, and we do not claim to have excluded our liability altogether. Any financial cap, and any indemnity, applies only where it is expressly stated in your written proposal or in a separate written agreement.
47. Price changes and renewal
The agreed price for your current committed programme term is fixed, except where your scope changes, your contracted fleet headcount changes, your locations or operational requirements materially change, you purchase additional work, or the parties otherwise agree in writing. We have no right to increase your agreed programme price arbitrarily mid-term.
We may set different pricing for a future renewal term, with appropriate notice.
A programme does not renew automatically. It is a 12-month commitment; we approach renewal proactively before the term ends, and renewal requires your active agreement. There is no hidden rollover.
48. Events outside our reasonable control
Neither party is in breach of the agreement, or liable for a delay or failure in performing its obligations, where that delay or failure results from an event outside its reasonable control that materially prevents or delays performance. The affected party notifies the other as soon as reasonably possible and uses reasonable endeavours to limit the effect.
This section does not apply to ordinary poor performance or to an avoidable operational failure.
49. Governing law and jurisdiction
These Terms, and any contract formed under them, are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction over any dispute or claim arising out of or in connection with them, including any non-contractual dispute or claim.
50. Status of these Terms
These Terms form part of the contractual framework described in clause 2, and are read together with the proposal or order you have accepted and any schedule expressly incorporated into the agreement.
Nothing published on this website, and nothing in these Terms, constitutes legal advice to you or to your organisation. Where you need advice on your own legal position, you should take your own professional advice.
Applicable law, and any statutory right or protection that cannot lawfully be excluded or limited, remains unaffected by these Terms.
